Effective on March 21, 2023, the Board of Directors (the “Board”) of Southwestern Energy Company (the “Company”) unanimously adopted the amended and restated bylaws of the Company (as so amended and restated, the “Bylaws”). The amendment, among other things, modified Section 2.9(a) to read: "Unless otherwise required by law, the Certificate of Incorporation or these Bylaws, any question, action or matter, with the exception of the election of directors, brought before any meeting of the stockholders shall be decided by a majority of the votes cast on the question, action, or matter, voting as a single class. Unless otherwise provided in the Certificate of Incorporation, and subject to Section 2.12 of this Article II, each stockholder represented at a meeting of the stockholders shall be entitled to cast one (1) vote for each share of the capital stock entitled to vote thereat held by such stockholder.
