Myriad Genetics to sell prenatal health testing business to Labcorp for $210 million cash

• Myriad Genetics agreed to sell its Prenatal Health testing business, including Prequel, Foresight, SneakPeek and FirstGene, to Labcorp for $210 million cash plus closing inventory value.
• Labcorp expects the acquisition to add about $160 million in revenue in year one, be slightly accretive to adjusted earnings in year one, and reach diagnostics segment margins by end of year two.
• The deal is subject to HSR and state health care approvals and is expected to close by early 2027; either party may terminate if not closed by Feb. 19, 2027, with extension to Oct. 19, 2027.
• Labcorp would pay Myriad a $10.5 million termination fee if the agreement is terminated due to failure to obtain certain regulatory clearances.
