Item 1.01 Entry into a Material Definitive Agreement. On February 2, 2023, Emerald X, Inc. (the “ Borrower ”), a wholly-owned subsidiary of Emerald Holding, Inc. (the “ Company ”), entered into a Fifth Amendment to Amended and Restated Credit Agreement (the “ Amendment ”), by and among the Borrower, the guarantors party thereto, the lenders party thereto and Bank of America, N.A., as administrative agent, which amends that certain Amended and Restated Credit Agreement, dated as of May 22, 2017 (as amended from time to time prior to the date of the Amendment, the “ Existing Credit Agreement ,” and as further amended by the Amendment, the “ Amended Credit Agreement ”), among the Borrower, the guarantors party thereto, the lenders party thereto and Bank of America, N.A., as administrative agent.
