BrainStorm Cell Therapeutics announces $7.5M registered direct offering of common stock and warrants

On July 17, 2023, Brainstorm Cell Therapeutics Inc., a Delaware corporation (the “Company”), entered into a Securities Purchase Agreement (the “Purchase Agreement”) with the purchaser named therein (the “Purchaser”), pursuant to which the Company agreed to sell, in a public offering (the “Offering”), an aggregate of 4,054,055 shares of the Company’s common stock, par value $0.00005 per share (the “Common Stock”), together with accompanying warrants (the “Common Warrants”) to purchase 4,054,055 shares of Common Stock, at a purchase price of $1.85 per share and accompanying warrants for gross proceeds to the Company of approximately $7.5 million, before deducting fees payable to the placement agent and other estimated offering expenses payable by the Company.

the Company entered into a placement agency agreement (the “Placement Agency Agreement”) with Maxim Group LLC (“Maxim”) , pursuant to which Maxim agreed to serve as exclusive placement agent for the issuance and sale of the shares of Common Stock and accompanying Common Warrants.
