Boxlight enters ATM equity facility for up to $4.8M with A.G.P./Alliance Global Partners

• Agent will receive a fixed commission of 3.0% of gross proceeds from any shares sold; company reimburses agent expenses up to $60,000.
• Sales will be made in 'at the market' offerings under existing effective shelf registration statement (File No. 333-284493).
• Company has no obligation to sell any shares and may suspend or terminate the offering at any time.
• Offering terminates upon full issuance, three years from shelf effectiveness, or termination of the agreement.
