Under the Agreement, the Company borrowed $1 billion. The term loan matures on December 19, 2023 and bears interest at the option of the Company at: • a rate equal to the Alternate Base Rate, which is a floating rate equal to the highest of (A) the prime rate of interest quoted by The Wall Street Journal as the “Prime Rate” in the U.S. from time to time, (B) the greater of (i) the Federal Funds Effective Rate or (ii) the Overnight Bank Funding Rate in effect on such day, plus 0.50% in either case and (C) the one-month Term SOFR rate plus an adjustment of 0.10% plus 1.0%; • a rate equal to the one-, three- or six-month Term SOFR rate plus an adjustment of 0.10% plus 0.95%; or • a rate equal to the Daily Simple SOFR rate plus an adjustment of 0.10% plus 0.95%.
