Getty Realty Corp. launches 3.45M share forward sale offering at $32.61/share

On February 28, 2023, Getty Realty Corp. (the “ Company ”) entered into an Underwriting Agreement (the “ Underwriting Agreement ”) with each of BofA Securities, Inc. and J.P. Morgan Securities LLC, as the underwriters and the forward sellers (together, in such capacities, the “ Underwriters ” and the “ Forward Sellers , ” as applicable) and each of Bank of America, N.A. and JPMorgan Chase Bank, National Association, as the forward purchasers (together, in such capacity, the “ Forward Purchasers ”), relating to the sale of 3,450,000 shares (the “ Shares ”) of common stock, par value $0.01 per share, of the Company (the “ Common Stock ”) offered by the Forward Sellers in connection with certain forward sale agreements described below (including 450,000 Shares offered pursuant to the Underwriters’ option to purchase additional shares, which option was exercised in full), at a price to the Underwriters of $32.61 per share.

In connection with the offering, the Company entered into separate forward sale agreements (the “ Forward Sale Agreemen ts ”) with each Forward Purchaser.
