Tenaya Therapeutics prices $60M public offering of 50M units at $1.20/unit; warrants at $1.50

On December 11, 2025, Tenaya Therapeutics, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Leerink Partners LLC and Piper Sandler & Co., as representatives (the “Representatives”) of the underwriters listed therein (the “Underwriters”), relating to the issuance and sale in a firm commitment underwritten public offering (the “Offering”) of 50,000,000 units (the “Units”), at a public offering price of $1.20 per Unit, consisting of one share of the Company’s common stock, par value $0.0001 per share (the “Common Stock”, and such shares, the “Shares”) and one warrant to purchase one share of Common Stock at an exercise price of $1.50 per share that is exercisable for a period of five years from the date of issuance (a “Warrant”).
