ismissal of Independent Registered Public Accounting Firm On November 15, 2023, the Audit Committee (the “ Audit Committee ”) of the Board of Directors of Dragonfly Energy Holdings Corp. (the “ Company ”) dismissed BDO USA, LLP (n/k/a BDO USA, P.C.) (“ BDO ”) as the Company’s independent registered public accounting firm. BDO had served as the Company’s independent registered public accounting firm from October 7, 2022 through the period ended September 30, 2023. BDO’s audit report on the Company’s consolidated financial statements as of December 31, 2022 and 2021 and for the years then ended did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles, except for BDO’s report for the year ended December 31, 2022, which contained an explanatory paragraph regarding the substantial doubt about the C
