(“Sunstock”) that Sunstock no longer fit in with the future direction of Fruci’s practice and, therefore, that Sunstock should seek another audit firm. The Report of Independent Registered Public Accounting Firm of Fruci regarding the Company’s financial statements for the year ended December 31, 2023 did not contain any adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles, except that such audit report did include an explanatory paragraph regarding the Company’s ability to continue as a going concern.
