Tilly's adopts amended bylaws with updated advance notice and proxy card rules

On and effective November 17, 2022, the Board of Directors (the “Board”) of Tilly’s, Inc. (the “Company”) approved and adopted the Third Amended and Restated Bylaws of the Company (the “Bylaws”), which amended and restated the Company’s existing bylaws to, among other things: (1) revise certain provisions relating to adjournment procedures and lists of stockholders entitled to vote at stockholder meetings, in each case to conform to recent amendments to Delaware General Corporation Law; (2) revise the procedures and disclosure requirements set forth in the advance notice provisions of the Bylaws, including to address matters related to compliance with Rule 14a-19 under the Securities Exchange Act of 1934, as amended; and (3) require that a stockholder directly or indirectly soliciting proxies from other stockholders use a proxy card color other than white.
