Nuveen Churchill Private Capital Income Fund

• Board approved Amendment No. 1 to Investment Advisory Agreement, removing exception to indemnification limits for intermediary manager and administrator.
• Board adopted Fifth Amended and Restated Bylaws, changing quorum requirement from one-third to majority of trustees.
• Both changes were made in response to comments from a state securities regulator during blue sky review of the Fund's offering.
