In addition to the Reincorporation, the Company is also effectuating a change to its name from Pineapple Energy Inc. to SUNation Energy, Inc. (the “Name Change”), as reflected on the certificate of incorporation and bylaws, the forms of which are annexed hereto as Exhibits 3.1 and 3.2 , respectively, which Name Change shall be effective November 19, 2024.
