• Election deadline for Peach State shareholders to choose merger consideration is July 20, 2026 at 5:00 p.m. ET.
• All required regulatory approvals received; closing expected on August 3, 2026, subject to remaining conditions.
• Per share consideration: $31.75 cash or 0.8978 UCB shares, subject to 50% cash / 50% stock proration.
• Shareholders who do not elect will receive cash or stock per the allocation and proration procedures in the merger agreement.
