Digital Realty to buy Blackstone's 64% stake in three Northern VA data centers for $3.5B

• Total consideration $3.5B ($1.2B cash + $2.3B non-voting common stock at June 29, 2026 closing price).
• Three hyperscale data centers total 288 MW IT capacity in Northern Virginia, gross value $7.8B (incl. debt and remaining capex).
• 100% leased to three investment-grade hyperscale customers; 15-year leases with 3.6% annual rent escalators; expected stabilized cap rate >6.5%.
• Closing expected June 30, 2026; expected to be leverage neutral and accretive to Core FFO per share in 2027/2028.
• Also: purchased 1,440 acres near Kansas City for $377.6M and agreed to issue 3.4M shares for 16% of Teraco JV; sold 6.2M ATM shares for $1.2B.
