Nubia Brand International shareholders approve extension to December 15, 2023; 8.4M shares redeemed

The Charter Amendment changed the date by which Nubia must consummate an initial business combination from June 15, 2023 to December 15, 2023.

Nubia Brand International Corp. (“ Nubia ”) and Continental Stock Transfer & Trust Company entered into an amendment, dated June 14, 2023, to the Investment Management Trust Agreement

On January 14, 2023, Nubia held a special meeting of stockholders (the " Special Meeting "). On June 1, 2023, the record date for the Special Meeting, there were 15,561,000 issued and outstanding shares of Nubia's common stock (the " Common Stock ") entitled to vote at the Special Meeting, 89.33% of which were represented in person or by proxy. Proposal amend the Investment Management Trust Agreement, dated March 10, 2022, by and between the Company and Continental Stock Transfer & Trust Company (the " Trustee "), to allow the Company to extend the date on which the Trustee must liquidate the trust account established by the Company in connection with the IPO (the " trust account ") if the Company has not completed its initial business combination, on a monthly basis up to six times from June 15, 2023 (the date that is 15 months from the closing date of the IPO) to December 15, 2023 (the date that is 21 months from the closing date of the IPO) by depositing into the trust account the lesser of (a) $125,000 and (b) $0.045 per share per month for each one-month Extension. 14,437,942 462,985 0
