• Proposal 2 approved 20,722,644 to 903,655 (121,566 abstentions): authorized common stock rises from 490,000,000 to 675,000,000 shares, effected at Board discretion.
• Proposal 3 (adjournment if needed) approved 20,938,915 to 528,123 (280,827 abstentions); all three proposals passed at the September 30, 2026 special meeting.
• 21,747,865 shares, roughly 65.36% of the 33,274,561 shares outstanding on the August 10, 2026 record date, were represented virtually or by proxy.
