(the “Company”), entered into a securities purchase agreement (the “Securities Purchase Agreement”), with Lincoln Park Capital Fund, LLC (“Lincoln Park”), pursuant to which the Company agreed to issue and sell to Lincoln Park, and Lincoln Park agreed to purchase from the Company (i) 52,798 shares (the “Private Placement Shares”) of the Company’s Common Stock, par value $0.01 per share (“Common Stock”) and (ii) warrants (the “Warrants”) to initially purchase an aggregate of up to 105,596 shares of Common Stock (the “Warrant Shares”), at an exercise price of $3.538 per share.
