• Regular purchases up to 20,000 shares per day (max $500K each); accelerated purchases allowed.
• Company issued 227,175 shares to Lincoln Park as commitment fee for the facility.
• Sales require effectiveness of a resale registration statement; company must file within 10 days.
• Company may terminate agreement with one business day notice at no cost or penalty.
