FG Financial Group stockholders approve reincorporation from Delaware to Nevada

On December 6, 2022, FG Financial Group, Inc. (the “Company”) held a special meeting at which the Company’s stockholders voted on the following proposal, which is described in detail in the definitive proxy statement filed with the Securities and Exchange Commission on October 31, 2022. Proposal 1. Approval of Reincorporation from Delaware to Nevada Stockholders approved the Agreement and Plan of Merger, dated as of October 19, 2022, by and between the Company and FG Financial Group, Inc., a Nevada corporation and a wholly owned subsidiary of the Company, pursuant to which the Company will be reincorporated from Delaware to Nevada.
