On August 30, 2023, pursuant to Section 228 of the Delaware General Corporation Law and Section 9 of Article II of our bylaws, a majority of EzFill Holdings, Inc.’s (the “ Company ”) shareholders approved the following corporate action: the entry into a securities purchase agreement dated as of April 19, 2023, as amended on May 17, 2023 and August 3, 2023, by and between the Company and AJB Capital Investments, LLC (the “ Investor ”), with respect to the sale and issuance to the Investor of: (i) an initial commitment fee in the amount of $700,000 in the form of 2,000,000 shares of the Company’s common stock and (ii) a promissory note in the aggregate principal amount of $1,500,000.
