Proposal 3. Proposal 4. The amendment of the Company’s 2021 Omnibus Equity Incentive Plan to adopt an evergreen provision such that, beginning on January 1, 2027 and ending with the last January 1 during the initial ten-year term of the Plan, the share reserve under the 2021 Plan will be automatically increased by a number of shares of our common stock equal to the lesser of (A) 5% of the aggregate number of shares of our common stock outstanding on the final day of the immediately preceding calendar year or (B) such smaller number of shares as is determined by our board of directors was not approved by the stockholders by the votes set forth in the table below: For Against Abstain Broker Non Vote 5,958,921 5,959,444 240,477 25,793,893
