Nano Nuclear to buy NRC-licensed DUF6 fuel-cycle assets for $9.5M cash plus $4M stock
Nano Nuclear Energy Inc.
- Nano Nuclear and sub HALEU Energy Fuel to acquire Radnostix/International Isotopes Fluorine Products assets, including NRC Material License SUB-1011 and N.M. air quality permit.
- Consideration at closing: $9.5M cash (less the $0.5M escrow released to RNX) plus $4M in restricted NNE shares priced on VWAP from 10 days before signing to the day before closing.
- Closing hinges on NRC approval of the license transfer, New Mexico consents, Buyer getting title/lease to the Lea County 'Hobbs Site' and ending the existing Industrial Revenue Bond.
- Expected close in roughly 90-120 days; outside date is 120 days after Sept 28, 2026, extendable 60 days. If the deal breaks, Sellers return the $0.5M escrow to Buyer within two business days.
- The licensed DUF6 plant was never constructed; NANO sees the existing license as a faster route to Part 70 processes and says a close would make it one of ten NRC-licensed U.S. fuel-cycle sites.
