Proposal No. 1: Approval to Amend the Articles of Incorporation of Riot Blockchain, Inc. to increase the number of shares of common stock authorized for issuance. According to the Company’s Articles of Incorporation and Nevada law, the approval of at least a majority of the voting power of the Company eligible to vote at the Special Meeting ( i.e. , a majority of the shares outstanding as of the Record Date for the Special Meeting) was needed to obtain stockholder approval of the Amendment.
