Angi CRO Services Umang Dua steps down; to serve as Senior Advisor through March 2023

• Umang Dua voluntarily resigned as Chief Revenue Officer, Services effective Dec 5, 2022; will remain as Senior Advisor through Mar 31, 2023.
• During transition, Dua will receive $400K base salary, benefits, and 2022 bonus of at least 50% of base salary.
• Post-separation, Dua eligible for base salary through Dec 31, 2023 and accelerated vesting of 472,144 RSUs from March 2022 award.
• If terminated without cause or resigns for good reason before separation, vesting of additional 209,643 and 369,275 RSUs accelerates.
• Transition agreement includes non-disparagement, confidentiality, and reaffirms prior post-employment covenants.
