Item 5.07 Submission of Matters to a Vote of Security Holders. On March 28, 2023, Netcapital Inc. (the “Company”) held a special meeting of stockholders, (the “Special Meeting”). The stockholders considered, voted, and approved the proposal to adopt the Company’s 2023 Omnibus Equity Incentive Plan, which is described in more detail in the definitive proxy statement filed by the Company with the Securities and Exchange Commission on February 10, 2023.
